Terms of Business for Professionals

• "Directory" — the online database of verified property professionals operated by us at fappny.co.uk.
• "Listing" — your public profile page on the Directory, displaying your business details, credentials, and contact information.
• "Portal" — the password-protected area of the website through which you manage your Listing and communicate with us.
• "Verification Documents" — the identity, credential, and regulatory documents you upload as part of your application and renewal.
• "Renewal Date" — the annual date on which your Listing is due for re-verification, as notified to you by email.
• "Approved Status" — the status assigned to your Listing once your application has been reviewed and accepted by us.
• "Free Account" — a Listing provided at no charge during the launch period or under any free tier we operate from time to time.
• "Paid Account" — a Listing subject to a fee under any paid tier we introduce in accordance with clause 7.
• "Content" — all text, images, documents, and other material you submit to the Directory, including your business name, biography, logo, and contact details.

The Directory is an information and referral platform only. We are not an agent, employer, contractor, or representative of any professional listed on the Directory. We are not a party to any contract, agreement, or transaction between you and any member of the public who contacts you through the Directory.

We do not guarantee that your Listing will generate any enquiries, leads, or revenue. A Free Account does not carry any implied promise of traffic, visibility, or commercial benefit.

We are not responsible for the conduct, decisions, or outcomes of any member of the public who contacts you through the Directory, nor for any dispute that arises between you and a client.

This Directory is exclusively for professionals working in the UK property sector. To apply for and maintain a Listing, you must:

• Work in a property-related profession as defined by our accepted profession types (listed on the application form)
• Be actively practising in the United Kingdom
• Hold all licences, registrations, memberships, and authorisations required by law and your relevant regulatory body for your profession
• Hold adequate professional indemnity or public liability insurance appropriate to your profession and the services you offer
• Not be subject to any current regulatory investigation, suspension, or prohibition that would prevent you from lawfully practising

Applications from professionals working outside the property sector will not be approved. We reserve the right to decline any application at our sole discretion without being required to give reasons.

To apply, you must complete our online application form in full and upload all required Verification Documents for your profession. By submitting your application you confirm that:

• All information provided is accurate, complete, and not misleading
• All documents uploaded are genuine, unaltered, and relate to your own credentials
• You are authorised to submit the application on behalf of the business named

Submitting false, misleading, or fraudulent information or documents is a serious breach of these Terms and may be reported to the relevant regulatory authority or law enforcement agency.

We will review your application and notify you of the outcome by email. We aim to complete reviews within 3–5 working days but do not guarantee this timeframe. We may request additional information or documents before making a decision.

For the duration of your Listing, you agree to:

• Maintain all required licences, registrations, and insurance policies without lapse
• Notify us in writing within 14 days of any change to your regulatory status, insurance cover, or any investigation, suspension, or prohibition by a regulatory body
• Keep your Listing information accurate and up to date at all times, including contact details, business address, and professional biography
• Respond promptly and professionally to quote requests submitted by members of the public via your Listing
• Not use your Listing or the Directory to engage in any unlawful, misleading, or deceptive practice
• Not impersonate another professional or business
• Not post fake reviews, testimonials, or endorsements on the Directory or on any linked platform
• Not use the Directory to send unsolicited commercial communications (spam) to other professionals or to members of the public
• Not use automated tools, bots, scrapers, or scripts to access, extract, or interact with the Directory without our prior written consent
• Not attempt to reverse-engineer, copy, or replicate the Directory's structure, data, or functionality
• Comply with all applicable laws, including consumer protection, data protection, and anti-money laundering legislation
• Comply with the code of conduct and professional standards of your relevant regulatory body

FAPPNY operates as a business-to-business verification and referral platform. We are not a regulated firm under the Money Laundering, Terrorist Financing and Transfer of Funds (Information on the Payer) Regulations 2017 ("MLR 2017") in our own right. However, many professions listed on this Directory — including surveyors, conveyancers, estate agents, and certain financial advisers — are themselves subject to AML obligations.

By applying to join the Directory, you confirm that:

• Where your profession is subject to MLR 2017 or the Proceeds of Crime Act 2002, you are registered with the appropriate supervisory authority (HMRC, RICS, SRA, FCA, or other) and maintain a compliant AML programme
• You will not use the Directory to facilitate, promote, or assist in any transaction that constitutes or may constitute money laundering, terrorist financing, or any other financial crime
• You will carry out your own customer due diligence (CDD) and know-your-customer (KYC) checks on any client you acquire through the Directory, in accordance with your regulatory obligations
• You will promptly notify us if you become aware of any suspicious activity connected to an enquiry received through the Directory

We reserve the right to remove any Listing where we have reasonable grounds to suspect that the listed professional is involved in financial crime, regardless of whether a formal investigation has commenced. See our AML Policy for further details.

The following conduct is strictly prohibited and may result in immediate suspension or permanent removal of your Listing without refund, and may be reported to the relevant regulatory body or law enforcement authority:

• Data harvesting: Using automated means (bots, scrapers, crawlers, or scripts) to extract, copy, or aggregate data from the Directory, including professional contact details, business information, or user enquiries
• API misuse: Accessing any FAPPNY API endpoint beyond the scope of your authorised portal access, or attempting to reverse-engineer or replicate our verification or matching systems
• Duplicate listings: Creating more than one Listing for the same individual or business, or creating Listings for businesses or individuals other than yourself
• Credential fraud: Submitting forged, altered, or expired documents during the application or renewal process
• Misrepresentation: Claiming qualifications, registrations, awards, or insurance cover that you do not hold
• Harassment: Using contact details obtained through the Directory to harass, threaten, or intimidate any person
• Platform interference: Attempting to disrupt, overload, or compromise the security or integrity of the Directory's infrastructure

Your Listing is subject to annual renewal. We will send reminder emails at 60, 30, and 7 days before your Renewal Date. To renew, you must:

• Log in to your Portal and confirm your details remain accurate
• Upload updated Verification Documents where required (for example, a renewed insurance certificate or updated regulatory membership certificate)

If renewal is not completed by your Renewal Date, your Listing may be paused (hidden from public search results) until renewal is completed. If renewal remains outstanding for more than 30 days after your Renewal Date, we reserve the right to remove your Listing entirely.

7.1 Current free tier

During our launch period, all Listings are provided as Free Accounts at no charge. The free tier is a baseline offering and does not constitute a permanent entitlement to free listing. We may introduce paid tiers at any time in accordance with this clause.

7.2 Introduction of paid tiers

We reserve the right to introduce fees for new or existing Listings in the future. Before doing so, we will:

• Give all currently listed professionals a minimum of 60 days' written notice by email to their registered address before any fee applies to their existing Listing
• Clearly set out the applicable fee schedule, billing frequency, and any differences between free and paid tiers

You will not be charged without your prior agreement to the applicable fee schedule. Continued use of the Directory after the notice period constitutes acceptance of the new pricing. If you do not wish to accept the new terms, you may remove your Listing at any time before the fee takes effect — see clause 7.4.

7.3 Tiered account structure

These Terms are written to accommodate both Free Accounts and Paid Accounts. Where a clause refers to fees, payment, or a paid tier, it applies only when and if a Paid Account tier has been introduced and you have agreed to it. The existence of this clause does not create any obligation on you to pay anything at the time of signing up.

7.4 Your right to opt out

You may remove your Listing at any time, including in response to a fee notice, by emailing us at [email protected]. Removal will be processed within 5 working days. Removal before a fee takes effect means no charge will apply.

7.5 No revenue guarantee

Whether you hold a Free Account or a Paid Account, we make no guarantee as to the number of enquiries, leads, or revenue your Listing will generate. Payment of any fee does not guarantee any minimum level of traffic, visibility, or commercial outcome.

We may suspend (pause) or permanently remove your Listing at any time if:

• You are in breach of any provision of these Terms
• Your regulatory status or insurance lapses or is revoked
• We receive credible complaints from members of the public about your conduct
• You fail to complete annual renewal within the required timeframe
• We have reason to believe that information or documents provided are false or misleading
• You are subject to a regulatory investigation, suspension, or prohibition
• Your Listing has been inactive (no portal login, no response to renewal notices) for a continuous period of 12 months or more
• We are required to do so by law or a regulatory authority

Where possible, we will notify you of a suspension and give you an opportunity to respond before a permanent removal decision is made. However, we reserve the right to remove a Listing immediately where we consider it necessary to protect consumers or the integrity of the Directory.

We also reserve the right to remove inactive Free Account listings at our discretion, including where a professional has not engaged with the Portal or responded to renewal notices within a reasonable period. We will give at least 30 days' notice before removing a Listing on inactivity grounds alone.

You are solely responsible for the accuracy of all information displayed on your Listing. We display information as provided by you and, while we take reasonable steps to verify key credentials, we do not independently verify every detail. You must promptly update your Listing via the Portal if any information changes.

We reserve the right to edit or remove any content from your Listing that we consider to be inaccurate, misleading, inappropriate, or in breach of these Terms, without prior notice.

You retain ownership of all Content you submit to the Directory. By submitting Content, you grant us a non-exclusive, royalty-free, worldwide, perpetual licence to host, display, reproduce, and distribute that Content on the Directory and in promotional materials relating to the Directory.

This licence survives the removal or expiry of your Listing to the extent necessary for us to retain records for legal, compliance, and audit purposes, and to display anonymised or aggregated data derived from your Listing. We will not continue to display your identifiable business information publicly after your Listing is removed.

You confirm that you own or have the right to use all Content you submit, and that it does not infringe the intellectual property rights of any third party.

We will process your personal data in accordance with our Privacy Policy, which forms part of these Terms. By applying to join the Directory, you acknowledge that we will collect, store, and process your personal data and Verification Documents for the purposes of operating the Directory and verifying your credentials.

We retain Verification Documents and application records for a minimum of 6 years from the date of your last active Listing, for legal and compliance purposes. This retention period applies regardless of whether your Listing is active, suspended, or removed.

Nothing in these Terms creates a partnership, joint venture, agency, franchise, or employment relationship between you and us. You are an independent professional and we are not responsible for the services you provide to members of the public. We are not a party to any contract between you and any client you acquire through the Directory.

To the fullest extent permitted by law, our total liability to you in connection with your Listing or these Terms shall not exceed the total fees paid by you to us in the 12 months preceding the event giving rise to the claim (or £100 where no fees have been paid).

We are not liable for any loss of business, revenue, profit, or reputation arising from:

• The suspension or removal of your Listing, provided we have acted in accordance with these Terms
• Any failure or interruption of the Directory service
• Any inaccuracy in information displayed on your Listing that was provided by you
• Any dispute between you and a member of the public who contacted you through the Directory
• Any decision by a member of the public not to contact or engage you

Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.

You agree to indemnify and hold us harmless from and against any claims, losses, damages, costs, and expenses (including reasonable legal fees) arising from:

• Your breach of these Terms
• Any inaccuracy or misrepresentation in your Listing or application
• Any claim by a member of the public arising from services you have provided
• Your infringement of any third party's intellectual property or other rights
• Any regulatory action taken against you in connection with your professional practice

We may update these Terms from time to time. We will notify you of material changes by email to your registered address at least 30 days before the changes take effect. Continued use of the Directory after that date constitutes acceptance of the revised Terms. If you do not accept the revised Terms, you may request removal of your Listing before the effective date.

Changes to fees are subject to the longer notice period set out in clause 7.2 (minimum 60 days).

These Terms are governed by the laws of England and Wales. Any dispute arising from these Terms or your Listing shall first be referred to us for resolution by emailing [email protected]. If the dispute cannot be resolved informally within 30 days, it shall be subject to the exclusive jurisdiction of the courts of England and Wales.
